Jolly — Terms of Use

These Terms of Use (the “Terms”) govern your use of Jolly, an order-management platform operated by Sign With Jolly, LLC, an Indiana limited liability company (“Jolly,” “we,” “us,” “our”). Jolly is available at jollyorders.com and app.jollyorders.com.

By creating an account, signing in, or using Jolly, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind that company, and “you” means that company.

Part A applies to everyone. Part B applies to companies that place orders. Part C applies to notaries. If a term in Part B or Part C conflicts with Part A, the later part controls for that audience.

Part A — General terms

1. What Jolly is

Jolly is software that helps notary signing services, escrow and title companies, and independent notaries coordinate loan-signing appointments: placing orders, finding and assigning notaries, exchanging documents and messages, confirming appointments, tracking completion, and invoicing.

2. What Jolly is not

This section is important, so it is stated plainly.

3. Accounts

You must provide accurate information and keep it current. You are responsible for everything that happens under your login, so keep your password private and do not share your account. Tell us promptly if you believe your account has been used without your permission. One login belongs to one person; companies should add staff through the Team page rather than sharing a single sign-in.

You must be at least 18 years old and legally able to enter into a contract.

4. Acceptable use

Use Jolly to coordinate legitimate signings. Do not:

We may suspend or close an account that breaks these rules, immediately and without notice where the conduct is serious or ongoing.

5. Documents, signer information, and confidentiality

Signings involve other people's sensitive information — loan documents, identification details, and nonpublic personal information about borrowers. Everyone using Jolly agrees to treat that information as confidential, to use it only to perform the signing it belongs to, to protect it with reasonable care, and not to disclose it to anyone who is not involved in that signing. These obligations continue after your account closes.

Documents uploaded for an order are available only to the company that placed the order and to the notary assigned to it, and are deleted automatically after the retention period set by that company.

6. Your data and ours

You keep ownership of the information you put into Jolly. You grant us the right to host, process, transmit, display, and back it up as needed to operate the service and to comply with law.

We own Jolly itself — the software, interfaces, designs, and the Jolly name and logo. These Terms grant you a limited, non-exclusive, non-transferable right to use Jolly while your account is in good standing, and nothing more. Do not copy, modify, reverse-engineer, or create derivative works from the service.

We may use aggregated, de-identified information about how Jolly is used to operate, secure, and improve it. Aggregated information never identifies you, your clients, your notaries, or any signer.

7. Privacy and text messages

Our Privacy Policy explains what we collect and how we use it, and forms part of these Terms. Our Security Overview describes how we protect it, including the service providers we use.

Text messages are optional and off by default. A notary turns individual alerts on under Settings → Notifications, which is also where they can be turned off. Reply STOP to any message to stop all texts, or HELP for help. Message and data rates may apply. Jolly does not send marketing texts, and does not share mobile numbers or messaging consent with third parties for marketing. Details are at app.jollyorders.com/sms.

8. Service availability

We work to keep Jolly available and reliable, but we do not promise uninterrupted service. We may take the service down for maintenance, and may change, add, or remove features. If we make a material change that reduces a paid feature you rely on, we will give reasonable notice.

9. Disclaimers

Jolly is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be error-free, that defects will be corrected, or that any notary, company, signing, or document handled through Jolly will meet your expectations or any legal requirement that applies to you.

10. Limitation of liability

To the fullest extent permitted by law, Jolly is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, or the cost of substitute services, even if we were told such damages were possible.

Our total liability for all claims arising out of or relating to Jolly in any twelve-month period will not exceed the greater of (a) the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).

Because Jolly is not a party to any signing, we are not liable for the acts or omissions of any company, notary, signer, or other user — including a notary's performance or non-performance, a missed or late appointment, an improper notarial act, a document error, non-payment by a company, or any loss arising from a transaction arranged through Jolly.

11. Indemnification

You will defend, indemnify, and hold harmless Jolly and its members, officers, and employees from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the service, your breach of these Terms, your violation of law or of anyone's rights, or any signing or transaction you are involved in through Jolly.

12. Suspension and termination

You may close your account at any time by contacting us. Fees already incurred remain payable.

We may suspend or close your account if you break these Terms, if your account is past due (see Part B), if we are required to by law, or if your use of the service creates risk for other users. Where practical we will tell you first and give you a chance to fix the problem.

Sections that by their nature should survive — confidentiality, the notary-information restrictions, fees already owed, disclaimers, limitation of liability, indemnification, and this section — survive termination.

13. Changes to these Terms

We may update these Terms. The date at the top shows the current version. If a change materially affects your rights or obligations we will give notice in the product or by email before it takes effect. Continuing to use Jolly after a change takes effect means you accept it.

14. Governing law and disputes

These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Hamilton County, Indiana, and both sides consent to the jurisdiction of those courts. Each side waives any right to a jury trial and agrees that claims must be brought individually and not as part of a class or representative action.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Jolly about the service. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Jolly.

Part B — Additional terms for companies

This part applies to signing services, escrow and title companies, and anyone else who places orders on Jolly.

B1. Your orders

You are responsible for the accuracy and completeness of every order you place — the appointment details, the address, the signer information, the documents, and any special requirements. You are responsible for confirming that the notary you select is appropriate for the signing, including any state-specific qualification the signing requires.

You are responsible for your staff's use of Jolly, for keeping your team list current, and for removing people who leave.

B2. Fees, and when a fee is earned

Your plan is shown on your Plan & Billing page. Depending on the plan, Jolly charges a fee for each order placed, a recurring subscription fee, or both, plus any monthly minimum shown on that page.

A per-order fee is earned when the order is placed. Placing an order — and assigning a notary to it — is the service you are paying Jolly for. What happens to the signing afterward does not change the fee. An order that is later canceled, rescheduled, reassigned, withdrawn by your client, declined by the signer, or never completed for any reason is still a billable order. Fees are non-refundable and are not credited after the fact.

We may, at our sole discretion, apply a credit to your account — for example, to correct a mistake we made. A credit issued once does not create any obligation to issue another, and is not a refund.

B3. Billing and payment

Jolly bills on a semi-monthly cycle. Statements close on the 1st and the 16th of each month and cover the orders placed in the period just ended. Subscription charges bill monthly. Payment is processed by Stripe; Jolly does not store your full card or bank account number.

You agree to keep a valid payment method on file. Where automatic payment is enabled, you authorize us to charge that method for each statement when it closes. Where a statement is invoiced instead, payment is due within fifteen (15) days.

If a statement goes unpaid we will send reminders, and continued non-payment may result in your account being marked past due and then suspended, with the timing shown in the product. A suspended account cannot place new orders or sign in, and access is restored when the balance is paid. Suspension does not cancel amounts you already owe.

We may require a payment method on file before allowing new orders to be placed. We may change pricing on notice; a change takes effect at the start of a later billing period, never retroactively.

Amounts are in U.S. dollars and exclusive of taxes, which are your responsibility except for taxes on our income.

B4. Paying your notaries

You are solely responsible for paying the notaries you engage, at the fee agreed for each signing, and for any tax reporting that relationship requires. Jolly's earnings and invoicing tools are records, not payments. A dispute between you and a notary about a signing or a fee is between the two of you; Jolly is not a party to it and has no obligation to resolve it, though we may suspend accounts where conduct affects other users.

B5. Notary information

Jolly gives you access to notary profiles — including names, contact details, credentials, and service areas — so that you can select, book, and communicate with notaries for signings you place through Jolly. That is the only permitted use.

You may not copy, export, scrape, or otherwise collect notary information in bulk, whether by hand or by automated means; store notary information outside Jolly except as needed to complete a signing you placed here and to keep your own records of it; use it to contact or solicit notaries for work outside Jolly; build or contribute to any competing directory or database; or sell, license, or otherwise share it with any third party.

Your notary roster shows the notaries who work with you. It is not a list you own, and a notary's presence on it does not give you any right to their information beyond what this section allows. These restrictions continue to apply after your account closes, and we may suspend or terminate access immediately if we believe they have been broken.

B6. Your clients and their information

You are responsible for having the right to place the orders you place and to share the signer information and documents you upload, including any consent or notice your own agreements or applicable privacy law require. You will not upload information you are not permitted to share.

Many of our customers are title companies, escrow offices, lenders, and signing services with obligations of their own — under the Gramm-Leach-Bliley Act and the FTC Safeguards Rule, under state privacy laws, and under their own clients' contracts — that require specific commitments from the vendors they use. Our Data Processing Addendum makes those commitments and forms part of these Terms for every company that places orders. It applies automatically, with no separate signature needed; if you need a countersigned copy for your vendor file, email security@signwithjolly.com.

Part C — Additional terms for notaries

This part applies to notaries who hold a Jolly notary account.

C1. Independent contractor

You are an independent contractor. You are not an employee, agent, partner, or joint venturer of Jolly, and nothing in these Terms creates that relationship. Jolly does not set your rates, control how you perform a signing, require you to accept any offer, or restrict you from working with anyone — on Jolly or off it. You are responsible for your own taxes, insurance, equipment, and business expenses.

When you accept a signing, your engagement is with the company that offered it, not with Jolly.

C2. Your commission and compliance

You are responsible for holding a valid notary commission and any other license, bond, or insurance your state requires, and for performing every notarial act in accordance with the law of the state where you are commissioned. You will not perform an act you are not authorized to perform, and you will not give legal advice or explain the legal effect of documents unless separately licensed to do so.

You will tell us promptly if your commission is suspended, revoked, or not renewed, or if you become subject to a proceeding that affects your ability to perform signings.

C3. Your profile is yours

Your Jolly profile belongs to you. You control your contact details, credentials, service area, equipment, availability, and notification settings, and you may update them at any time. A company that added you before you activated your account may correct the details it entered up to that point; after you set your password, only you (and Jolly, where we need to fix an error) can change your profile.

The information you provide is shown to companies you work with, and your working details — name, city, contact information, credentials, equipment, and service area — are visible to companies searching for a notary in your area. That visibility is how you receive work. Your payment details are not shown, and a change to them never takes effect from a company's edit: it requires your confirmation from a link we email you.

Your completed-signing count, ratings, and reliability record are part of your profile across Jolly and are visible to companies. Keep your information accurate — companies rely on it when choosing a notary.

C4. Rosters and invitations

A company can invite you to join its roster, and you decide whether to accept. Accepting a signing offer from a company also adds you to that company's roster. You may leave a company's roster at any time from My Companies; signings you have already accepted remain yours to complete.

C5. Offers and signings

Offers are invitations, not assignments. You are free to accept or decline any offer for any reason. If you accept a signing you are committing to it, and backing out after accepting may be recorded on your reliability record and may affect whether companies offer you work in future.

You agree to keep the documents and signer information for a signing confidential, to use them only for that signing, to return or destroy them as the company instructs, and not to retain copies beyond what your own recordkeeping obligations require.

C6. What your account costs

Your Jolly notary account is free. Receiving offers, accepting signings, accessing your orders and documents, messaging companies, and the recordkeeping tools included with your account today cost you nothing.

Jolly may introduce optional paid features for notaries in future. Features available to you at no charge when you joined remain available to you at no charge; new optional features may require a paid subscription. You will never be charged for anything without agreeing to it first.

C7. Getting paid

The company that engaged you pays you. Jolly's invoicing, earnings, and mileage tools help you track and bill that work, but Jolly does not pay you, does not hold your money, and does not guarantee that a company will pay. If a company does not pay you, that is a matter between you and the company; you may tell us, and while we cannot collect on your behalf, conduct that affects other users may lead to us suspending that company's account.
